Referral Programme Terms

DRAFT - items marked [TO CONFIRM] must be decided before publishing. Last updated: [TO CONFIRM: date]

Definitions

§1

In these Referral Programme Terms, hereinafter referred to as the “Programme Terms”, the following terms should be understood to mean:

  1. “Organiser” refers to Smart Prospects Ltd., private limited company, registered at Registrar of Companies for England and Wales under the number 08423213 whose registered head office is at Orchard House, 15 Market Street, TF2 6EL, Telford, United Kingdom, operating the UniEdu platform.

  2. “Programme” means the UniEdu Referral Programme described in these Programme Terms.

  3. “Referrer” means a holder of a UniEdu Account who has joined the Programme.

  4. “Referred Person” means a person who creates a new UniEdu Account using the Referrer’s Referral Link or Referral Code.

  5. “Referral Link” and “Referral Code” mean the personal link and the six-character code assigned to the Referrer after joining the Programme.

  6. “QuickApply Application” means an application to a University submitted by the Referred Person through the UniEdu QuickApply service.

  7. “Successful Referral” means a referral meeting all conditions set out in §4.

  8. “Reward” means the cash reward payable to the Referrer for a Successful Referral.

  9. Other capitalised terms (e.g. “Account”, “University”, “Services”) have the meaning given to them in the UniEdu Terms of Service.

General provisions

§2

  1. The Programme is organised by the Organiser. These Programme Terms supplement the UniEdu Terms of Service and Privacy Policy. In case of conflict regarding the Programme, these Programme Terms prevail.

  2. Any holder of a UniEdu Account in good standing may join the Programme. [TO CONFIRM: minimum age, e.g. 18 years; any excluded countries; whether Organiser’s employees and partners are excluded.]

  3. Joining the Programme is voluntary and free of charge. To join, the user must accept these Programme Terms on the referral programme page in the UniEdu platform or in the UniEdu mobile application.

  4. After joining, the Referrer receives a personal Referral Link and Referral Code. They are assigned permanently and must not be sold or transferred.

Referrals

§3

  1. A referral is recorded when the Referred Person creates a new UniEdu Account:

    1. within 30 days of opening the Referral Link on the same device and browser (if the Referred Person opens Referral Links of several Referrers, the most recently opened link counts), or

    2. by entering the Referral Code in the account registration form. A Referral Code entered in the form takes precedence over a Referral Link.

  2. The referral is assigned at the moment the Referred Person’s account is created and cannot be changed or assigned to another Referrer afterwards.

  3. A referral is not recorded if the Referred Person already had a UniEdu Account, or if the Referrer refers themselves (including through additional accounts).

  4. Referral Links are recorded using a cookie. If the Referred Person blocks or deletes cookies, the referral can still be recorded by entering the Referral Code. The Organiser is not responsible for referrals that could not be recorded for technical reasons beyond its control.

Successful Referral and Reward

§4

  1. A referral becomes a Successful Referral when all of the following conditions are met:

    1. the Referred Person submits a QuickApply Application through the UniEdu platform,

    2. the Referred Person enrols at the University and starts the course they applied for through QuickApply,

    3. the Referred Person completes the first academic year of the course,

    4. [TO CONFIRM: e.g. the University has confirmed the enrolment and paid the Organiser any applicable fee].

  2. The Reward is paid only for referrals made through QuickApply. Applications through UCAS, MasterApply or other channels do not qualify.

  3. The amount of the Reward is the amount displayed in the Programme at the moment the Referred Person creates their UniEdu Account. This amount is fixed for that referral and is not affected by later changes of the Reward offered in the Programme. The amount assigned to each referral is shown to the Referrer in the list of referrals.

  4. Rewards are expressed and paid in British pounds (GBP).

  5. The Reward is not due if the QuickApply Application is rejected or withdrawn, if the Referred Person does not start the course or does not complete the first academic year of the course, or in the cases described in §7.

  6. [TO CONFIRM: maximum number of Rewards per Referrer, if any.]

Referral statuses

§5

The Referrer can track each referral in the Programme. The statuses mean:

  1. “Signed up” - the Referred Person has created an account but has not submitted a QuickApply Application yet.

  2. “Application submitted” - the Referred Person has submitted a QuickApply Application.

  3. “Applied” - the application has been sent to the University.

  4. “Unsuccessful” - the application was rejected or withdrawn; no Reward is due.

  5. “Enrolled” - the Referred Person has enrolled at the University; the Reward becomes due once the remaining conditions of §4 are met.

  6. “Reward pending” - the referral is a Successful Referral and the Reward is being paid.

  7. “Reward paid” - the Reward has been paid.

  8. “Reward expired” - the Reward has expired in accordance with §6.

Statuses are updated by the Organiser based on information from the University and the Referred Person and may be updated with a delay.

Payment of Rewards

§6

  1. Rewards are paid only by bank transfer to a UK bank account. To receive Rewards, the Referrer provides the account holder name, sort code and account number in the Programme. The Referrer is responsible for the correctness of the payout details. Rewards cannot be paid to bank accounts outside the UK or by other methods.

  2. The Organiser pays the Reward within [TO CONFIRM: e.g. 30 days] of the referral reaching the “Reward pending” status, provided that valid payout details have been supplied. If payout details are missing, the payment is made within [TO CONFIRM] days of supplying them.

  3. When the Reward is ready to be paid, the Organiser sends the Referrer an email with the Reward amount, the payout details required and the deadline for providing them. The deadline is 12 months from the date of that email.

  4. If valid payout details have not been provided, the Organiser sends reminder emails 3, 6 and 11 months after the email referred to in point 3.

  5. The Reward may expire only if, after the deadline referred to in point 3, the Organiser still does not have valid payout details and has sent all three reminders referred to in point 4. An expired Reward is shown with the “Reward expired” status and is no longer payable.

  6. The Referrer is responsible for any taxes due on the Rewards received. [TO CONFIRM: tax wording with accountant.]

Rules of conduct

§7

  1. The Referrer may share the Referral Link and Referral Code with people they know, on their own social media profiles and in personal messages.

  2. The Referrer must not:

    1. send unsolicited bulk messages (spam) or contact people without their consent,

    2. make false or misleading statements about UniEdu, the Organiser, Universities, admission chances or student finance,

    3. present themselves as the Organiser or as acting on its behalf,

    4. use paid advertising using the UniEdu name or brand [TO CONFIRM],

    5. create accounts for other people, use fake or duplicate accounts, or offer the Referred Person payment for using the Referral Link or Code [TO CONFIRM].

  3. In case of a breach of this paragraph or of the UniEdu Terms of Service, the Organiser may refuse to record a referral, withhold Rewards connected with the breach and exclude the Referrer from the Programme.

Personal data

§8

  1. Personal data is processed by the Organiser as the data controller in accordance with the UniEdu Privacy Policy.

  2. The Referrer can see only the following information about each Referred Person: first name, initial of the last name, the university or college applied to, the referral status, relevant dates and the Reward amount. The Referrer does not receive the Referred Person’s contact details or any other personal data.

  3. The Referred Person is informed in every registration form, next to the referral code field, that the referral is recorded, that the Referrer can earn a Reward and which information the Referrer will see.

  4. Payout details are stored encrypted and used only to pay Rewards. They are deleted [TO CONFIRM: retention period, e.g. 6 years after the last payment for accounting purposes].

Final provisions

§9

  1. The Organiser may change these Programme Terms or the Reward amount at any time. Changes apply from their publication and do not affect Reward amounts already fixed for existing referrals.

  2. The Organiser may suspend or end the Programme by publishing a notice [TO CONFIRM: e.g. 30 days in advance]. Referrals recorded before the end of the Programme remain eligible for a Reward if they become Successful Referrals [TO CONFIRM: within e.g. 24 months].

  3. The Referrer may leave the Programme by contacting help@uniedu.uk. Rewards for Successful Referrals recorded before leaving remain payable.

  4. Questions and complaints regarding the Programme can be sent to help@uniedu.uk. [TO CONFIRM: complaint handling time.]

  5. These Programme Terms are governed by the laws of England and Wales.
