Definitions

§1

In these Terms & Conditions, hereinafter referred to as the “Terms and Conditions”, the following terms should be understood to mean:

  1. “Account” means an account created on the Website in accordance with the rules set out in the Terms and Conditions.
  2. “Service Provider” refers to Smart Prospects Ltd., private limited company, registered at Registrar of Companies for England and Wales under the number 084223213 whose registered head office is at Orchard House, 15 Market Street, TF2 6EL, Telford, United Kingdom.
  3. “Services” means services provided by the Service Provider electronically via the Website, specified in detail in the Terms and Conditions.
  4. “University” refers to a university in the United Kingdom.
  5. “User” refers to an Applicant or a Registered User.
  6. “Registered User” refers to an User who has an Account.
  7. “Applicant” refers to a Registered User who uses the Apply with UniEdu service (defined in paragraph 9 below) and has an account in the UCAS system with the Service Provider's buzzword or who applies for studies at a University outside the UCAS system with the support of the Service Provider as an agent or representative.
  8. “Website” means the website https://www.uniedu.uk and its subpages.

General provisions

§2

  1. The Terms and Conditions define the rules for the provision of electronic services by the Service Provider to Users, in particular the rights and obligations of the Service Provider and Users.
  2. Before commencing to use the Services, the User is obliged to read the content of the Terms and Conditions.
  3. The Terms and Conditions constitute an integral part of the contract for the provision of electronic services concluded by the Service Provider with the User.

§3

The User may be an adult or a minor, provided that they obtain the consent of a legal representative, a legal person or an organisational unit without legal personality, to which the law grants legal capacity.

§4

The use of the Website and Services are free of charge.

§5

The Service provider prohibits the following:

  1. posting on the Website, in application documents, messages and related social media, run by or cooperating with the Service Provider, in particular Facebook groups to which the Service Provider allows access, of any illegal content, contrary to the principles of social coexistence, violating good custom or contrary to the Terms and Conditions, as well as any harmful files;
  2. posting on the Website, in application documents, messages and related social media, run by or cooperating with the Service Provider, in particular groups on Facebook, to which the Service Provider allows access, of information or data, including personal data, false or untrue, in in particular, impersonating other people;
  3. sending unwanted messages (spam), in all its forms;
  4. making or attempting to interfere with the Website or any other IT systems or resources of the Service Provider;
  5. violating the personal rights of the Service Provider or any third parties;
  6. acting to the detriment of the Service Provider or any third parties;
  7. any modification of the content made available on the Website using tools not provided by the Website; and
  8. copying, modifying or otherwise affecting any part of the Website.

Services provided by the Service Provider

§6

  1. The Website is a multilateral platform that gives the opportunity to obtain information about studies at Universities and to apply for courses at Universities with the support of the Service Provider.
  2. As part of the Website, the Service Provider offers the following Services (which are defined in these Terms and Conditions in paragraphs 7-9 respectively):
  1. Use UniEdu,
  2. Register with UniEdu,
  3. Apply with UniEdu.

Use UniEdu

§7

  1. The Use UniEdu service is available to Registered Users.
  2. The Use UniEdu service provides access and use of the Services to the extent listed on the website https://www.uniedu.uk/available-uniedu-services/ in the ‘Registered Users’ section and enables the User to create an Account.
  3. The contract for the provision of the Use UniEdu service between the Service Provider and the Registered User is concluded when the Registered User enters the Website address in the web browser, and is terminated when the Registered User closes the Website.

Register with UniEdu

§8

  1. The Register with UniEdu service is available to Registered Users.
  2. The service Register with UniEdu enables access and makes it possible to use the Services in the scope detailed on the website https://www.uniedu.uk/available-uniedu-services/ in the Registered Users section and enables the User to take advantage of the Apply with UniEdu service. 
  3. In order to use the Register with UniEdu service, it is necessary to create an Account on the Website and log into the Account as a Registered User.
  4. In order to create an Account, the Registered User completes and sends to the Service Provider an appropriate form on the website at: https://www.uniedu.uk/applicant-register. This form should contain at least: name, surname, email address, contact telephone number, planned start of studies and the fields of study of interest to the Registered Users. An optional Skype address may be provided. As the Service Provider's form is sent, an Account is created. To create an Account and use the Register with UniEdu service, the User must confirm that they have read the Terms and Conditions, accept the content and agree to abide by it. This declaration is submitted by marking the appropriate box in the completed form.
  5. Immediately after creating the Account, the Service Provider sends the login and password to  the Registered User to log into the Account to the email address provided in the form.
  6. The Service Provider agrees to enable the Registered User to complete and modify the data provided in the Account. It is the Registered User’s responsibility to ensure their contact details are correct and up-to-date.
  7. The contract for the provision of the Register with UniEdu service between the Service Provider and the Registered User is concluded with the creation of an Account on the Website, and it is terminated when the Service Provider or Registered User terminates the contract or when the Registered User withdraws from the contract.

Apply with UniEdu

§9

  1. The Apply with UniEdu service is available to Registered Userswho have an account in the UCAS system with the Service Provider's buzzword or who apply for courses at a University outside the UCAS system with the support of the Service Provider as an agent or representative.
  2. The Apply with UniEdu service provides access and makes it possible to use the Services in the scope listed on the website https://www.uniedu.uk/available-uniedu-services/.
  3. In order to use the Apply with UniEdu service, the Registered User must provide complete data in their Account with the information referred to in section 5 of this paragraph, select the option “I want to apply for studies in the UK with support of UniEdu” in their Account and accept the changes. Accepting the changes referred to above constitutes an offer made to the Service Provider to conclude a contract, the subject of which is the provision of the Apply with UniEdu service.
  4. After accepting the changes referred to above, the Applicant is directed by the Service Provider to further stages of the recruitment process, described at https://www.uniedu.uk/available-uniedu-services/ and receives support from the Service Provider in applying for courses at Universities. In particular, the Applicant shall receive from the Service Provider, to the email address provided by the Applicant, interactive templates for choosing the field of study and support in planning preparations for applying, writing a Personal Statement, collecting the necessary references, applying for courses at universities through the UCAS system or outside the UCAS system, obtaining a government loan for tuition fees and obtaining accommodation in a halls of residence.
  5. In order to go through the recruitment process, the Applicant should provide at least: name, surname, email address, contact telephone number, city in which the Applicant's high school is located, year in which the Applicant took the high school leaving examination, type of high school leaving exam, number and type of results for the subjects in which the Applicant passed the high school leaving examination, the average of all written matriculation exams, the month and year of the planned start of studies, the stage of applying for studies at which the Applicant is currently, information about parental support, the level at which the Applicant wants to start higher education, the name of the selected field of study, information about the choice of university with an indication of the university of first and second choice, information about the creation of a UCAS account with the Service Provider's buzzword and the start of submitting an application for studies or applying to study at a university outside the UCAS system with the support of the Service Provider as an agent or representative, information about the preparation and sending of the application to the university, information about the receipt of the Personal Statement templates and references. Optionally, the Applicant can also provide a link to the Applicant's Facebook profile, the Applicant's Skype address, universities of further choice and additional comments by the Applicant.
  6. By accepting the changes referred to above, through which the Applicant expresses the wish to use the Apply with UniEdu service, the Applicant agrees to transfer the data provided by the Applicant to Universities or partner organisations cooperating with the Service Provider in order to include the Applicant in the recruitment process for studies at Universities with the support of the Service Provider as an agent or representative. Universities or partner organisations cooperating with the Service Provider, on the basis of the data provided to them, have the right to contact the Applicant in order to include them in the recruitment process.
  7. By accepting the changes referred to above, through which the Applicant expresses their wish to use the Apply with UniEdu service, the Applicant undertakes to inform the Service Provider, at the Service Provider's request, about the stages of the recruitment process for courses at Universities, in particular with regard to information on acceptance or non-acceptance of the Applicant to study at Universities, commencement or non-commencement of studies, continuation or resignation from studies, and the possible field of study and specialisation.
  8. The contract for the provision of the Apply with UniEdu service between the Service Provider and the Registered User is concluded with the introduction of an email from the Service Provider, referred to in section 4 above in this paragraph 9, to the means of electronic communication of a Registered User who wants to conclude a contract, in such a way that they can read the content of the email; whereas its termination takes place if the contract is terminated by the Service Provider or Registered User or if the Registered Userwithdraws from the contract.

UniEdu Eligibility Check

§10

  1. The UniEdu Eligibility Check service is available to Registered Users.
  2. The UniEdu Eligibility Check service provides information on whether the Registered User might be eligible for government-backed student loans and grants as well as which universities the Register User might be able to apply to.
  3. In order to use the UniEdu Eligibility Check service, it is necessary to provide information on: desired level of study, immigration status, residence, nationality, and most recent qualifications.
  4. The Service Provider is in no way affiliated with the Student Finance England, Student Finance Wales, Student Finance Northern Ireland, Student Award Agency Scotland, Student Loans Company, Department for Education or HM Government. It is the Student Loans Company, not the Service Provider, that ultimately decides who is eligible for loans and grants, and administers them to the Applicant at the University.
  5. It is the British Universities, not the Service Provider, that make the actual decision on whether the Register User’s application is going to be accepted or rejected.

UniEdu QuickApply

§11

  1. The UniEdu QuickApply service is available to Registered Users.
  2. The UniEdu QuickApply service enables the Registered Users to apply to certain British Universities.
  3. After sending the UniEdu QuickApply form, the Applicant is directed by the Service Provider to further stages of the recruitment process, described at https://www.uniedu.uk/available-uniedu-services/ and receives support from the Service Provider. In particular, the Applicant shall receive from the Service Provider, to the email address provided by the Applicant, information on the following steps as well as support in obtaining government loans and grants subject to eligibility. The Applicant may also receive SMS notifications during this stage of the recruitment process. 
  4. In order to use the UniEdu QuickApply service, the Applicant has to provide the following information: name, surname, date of birth, email address, nationality, chosen course, address, phone number, date of end of high school education, disabilities, immigration status, and copy of qualifications.
  5. It is the British Universities, not the Service Provider, that make the actual decision on whether the Register User’s application is going to be accepted or rejected.
  6. By sending the UniEdu QuickApply form, through which the Applicant expresses the wish to use the Apply with UniEdu service, the Applicant agrees to transfer the data provided by the Applicant to Universities or partner organisations cooperating with the Service Provider in order to include the Applicant in the recruitment process for studies at Universities with the support of the Service Provider as an agent or representative. Universities or partner organisations cooperating with the Service Provider, on the basis of the data provided to them, have the right to contact the Applicant in order to include them in the recruitment process.
  7. By sending the UniEdu QuickApply form, through which the Applicant expresses their wish to use the Apply with UniEdu service, the Applicant undertakes to inform the Service Provider, at the Service Provider's request, about the stages of the recruitment process for courses at Universities, in particular with regard to information on acceptance or non-acceptance of the Applicant to study at Universities, commencement or non-commencement of studies, continuation or resignation from studies, and the possible field of study and specialisation.

Termination of the contract

§12

  1. The Parties have the right to terminate the contract.
  2. In the event of termination of the contract by the Service Provider, the contract shall end upon the expiry of the two-week notice period, counted from the date on which the notice of termination was received by the User in such a way that they could read its content. The termination may be made in writing or by email to the User's email address.
  3. The Registered User terminates the contract by closing the Website page. Upon closing of the Website page, the contract is terminated without the notice period.
  4. The Applicant terminates the contract by removing their Account from the Website. Upon deletion of the Account, the contract is terminated without notice. The account may be deleted by a Registered Userat any time.
  5. In order to remove their Account from the Website, the Registered User should press the button “Resignation from studies in the UK” or send an email to the Service Provider at admin@uniedu.uk, in which the Registered User states that the Registered User wishes to terminate the contract. The account is deleted by the Service Provider within 5 working days.
  6. Immediately after deleting the Account, the Service Provider confirms the Account deletion by sending relevant information via email.
  7. Termination of the contract does not violate the provisions set out in § 5, § 9 sec. 6 or § 16, nor does it require the removal of posts and other text messages posted by the User on social media related to, run by or cooperating with the Service Provider, in particular groups on Facebook, to which the Service Provider provides access.
  8. The Service Provider has the right to terminate the contract with immediate effect: 

8.1 in the event of a gross violation by the User of the provisions of the Terms and Conditions, in particular § 5, § 8 sec. 7, § 9 sec. 7 or § 16;

8.2 if the Registered User or Applicant use the services of other entities who are in competition with the Service Provider, when applying for higher education in the United Kingdom;

8.3 if Users using the Apply with UniEdu service lose the status of the Applicant, in particular in the event of not having an account in the UCAS system with the Service Provider's buzzword or applying to study in the UK outside the UCAS system without the Service Provider's support as an agent or representative;

8.4 In the UCAS system, if the the option to allow the Service Provider to monitor progress of the application submitted by the Applicant on the UCAS platform is not selected (consent is given at the time of sending the UCAS application and may be changed on the UCAS Track website after the application has been sent). This information is necessary for the Service Provider to continue to reliably provide its services after the application has been sent (including notification about the decision deadlines, support in the application for a loan, etc.). If this information is not made available, the Service Provider will not be able to provide all services offered, which may lead to the termination of the contract (from time to time, the Service Provider agrees to ask the Applicant to change this option in the UCAS system, the contract is terminated at the time of refusal or when the request is ignored by the Applicant - the termination may be withdrawn after contact and clarification of the situation with the Service Provider). 

  1. Termination of the contract with immediate effect may be made in writing or by email to the User's email address. The termination of the contract due to the termination of the contract with immediate effect takes place the moment a breach of the contract by the User has been established.

The right to withdraw from the contract

§13

  1. The User have the right to withdraw from the contract at any time.
  2. The right to withdraw from the contract is exercised by submitting a declaration of withdrawal from the contract to the Service Provider. The declaration may be submitted by email to admin@uniedu.uk.

Newsletter

§14

  1. A Registered User may consent to a newsletter service. The newsletter service consists of the Service Provider's information bulletin or messages containing marketing content (commercial information) about the offer of the Service Provider or its business partners and is sent periodically to the email address or telephone number provided. The subscription to the newsletter is made by selecting the appropriate option in the registration form or at a later date in the Account tab.
  2. Subscription to the newsletter is voluntary and free of charge. The newsletter service is provided for a period of time and can be unsubscribed at any time.
  3. A Registered User may unsubscribe from the newsletter at any time by sending an email to the Service Provider at admin@uniedu.uk.

Complaints procedure

§15

  1. Complaints about the services provided by the Service Provider on the basis of the Terms and Conditions may be submitted in writing or via email to the address: help@uniedu.uk.
  2. The complaint should include information about the User submitting the complaint, a description of the situation which is the basis for the complaint and an email address.
  3. Complaints are processed immediately but not later than within 14 days from the date of their receipt by the Service Provider.
  4. A response to the complaint is sent to the User’s email address provided in the complaint.

Intellectual Property Rights

§16

  1. The User acknowledges and agrees that all rights to works, trademarks and other materials made available on the Website are held by the Service Provider or third parties.
  2. The Users do not acquire any rights, in particular licences to works, trademarks and other materials made available on the Website.
  3. It is forbidden to copy the content for the purpose of competition and to release the Service Provider's materials intended only for Applicants to third parties who are not Applicants, under pain of immediate termination of the contract for the provision of services or in the event of the Service Provider incurring financial losses as a result of such breach - legal proceedings.

Personal data protection

§17

  1. Processing and transferring of personal data is controlled by the General Data Protection Regulation (GDPR) and Data Protection Act 2018 (DPA) and any other applicable laws and regulations.
  2. The administrator of the personal data is Smart Prospects Ltd., private limited company, registered in the Registrar of Companies for England and Wales under the number 084223213, whose registered head office is in Orchard House, 15 Market Street, TF2 6EL, Telford, United Kingdom.
  3. Personal data are processed only as permitted by law and to the extent necessary to achieve the purposes for which they were collected, in particular to the extent necessary for the provision of services and performance of the contract by the Service Provider, as well as for marketing purposes. A detailed description of the basis for the processing of personal data can be found in the Privacy Policy.
  4. Providing personal data is not a statutory obligation, and their provision is voluntary. However, refusal to provide them with regard to the data the provision of which the Service Provider specifies as mandatory will prevent the provision of the service and the performance of the contract.
  5. The User has the right to request access to their personal data, their rectification, deletion or limitation of processing, or the right to object to their processing (subject to Service Provider being legally required to process personal data or if processing personal data of the User is necessary to fulfil a contract with the User), as well as the right to transfer the data and the right to lodge a complaint to a supervisory authority. 

Technical requirements

§18

  1. In order to use the Website properly, the User needs:

1.1 a computer, laptop or any other multimedia device;1.2 Internet access;

1.3 standard software such as an operating system and a web browser, the web browser should support cookies; and,

1.4 in order to create an Account and in the case of Registered Usersand Applicants - their own active email address.

  1. If the above requirements are not met, the use of the Website may be difficult or impossible.

Contact

§19

  1. In all matters related to the performance of the contract, the User may contact the Service Provider via email at help@uniedu.uk.
  2. In all matters related to the performance of the contract, the Service Provider will contact the User via email at the address provided by the User or by telephone, if the User provides a telephone number.

Amendments to the Terms and Conditions

§20

  1. The Service Provider reserves the right to amend the Terms and Conditions if new services are introduced or existing services are terminated, as well as in the event of any changes in applicable law that affect the content of the legal relationship between the Service Provider and the User.
  2. The Service Provider notifies Registered Users about each amendment to the Terms and Conditions and the date on which the amended Terms and Conditions will come into force by sending an email to the email address included in the Registered User’s Account.
  3. Should the User not accept the changes to the Terms and Conditions, they should send the Service Provider a message via email, stating the User does not accept the changes to the Terms and Conditions and refrain from further use of the Website. By sending the email message to the Service Provider about not accepting the changes in the Terms and Conditions, the contract is thus terminated as referred to in § 12. Immediately after receiving and acknowledging the message about not accepting the changes to the Terms and Conditions, the Service Provider deletes the Registered User’sAccount. After deleting the Account, the Service Provider will immediately confirm the Account deletion by sending relevant information via email.

Final Provisions

§21

The Service Provider reserves the right to temporarily suspend the provision of Services due to the necessity to carry out maintenance, repair, modernisation etc. related to the Website.

§22

The Service Provider reserves the right to temporarily suspend the provision of Services, including providing support in applying for courses at the University and providing information about the application process, in the event of a material breach of the provisions of the Terms and Conditions by the User or failure to meet the conditions for using the Services, in particular in a situation where the User loses the status of an Applicant, and until the violation ceases or the conditions for using the Services are met.

§23

The Service Provider reserves the right to introduce additional services for Registered Users or Applicants.

§24

All headings used in the content of the Terms and Conditions are for information purposes only and serve to facilitate orientation in the text.

§25

The Service Provider has the right to remove from the Website or temporarily suspend access to the content introduced to the Website by the User, if such content violates the provisions of generally applicable law, the Terms and Conditions, the principles of social coexistence or good manners.

§26

The Service Provider is in no way affiliated with the Student Finance England, Student Finance Wales, Student Finance Northern Ireland, Student Award Agency Scotland, Student Loans Company, Department for Education or HM Government. It is the Student Loans Company, not the Service Provider, that decides who is eligible to get the loans and grants, and administers them to the Applicant at the University.

§27

The Service Provider or its subsidiaries are not liable to the User in any circumstances for any losses or damages caused by disruption or failure of internet networks or for any interruptions to or restrictions on the accessibility of the Website airising for any reason or for any loss or damage arising out of or in connection with the use of the Website including, but not limited to, loss of data by the User or any other person. 

§28

The Terms and Conditions shall be interpreted in accordance with English law and the Service Provider and the Registered User submit to the exclusive jurisdiction of the English courts.
